1. Introduction and Acceptance
Welcome to Ucallz. This Terms of Use document (the “Agreement”) is a legally binding contract between you (“User,” “Customer,” or “you”) and Ucallz, Inc., a corporation with its principal place of business at 3111 Camino Del Rio North, Suite 400, San Diego, California 92108 (collectively with its subsidiaries, affiliates, successors, and assigns, “Ucallz,” “we,” “us,” or “our”).
This Agreement, together with our Privacy Policy (available at https://ucallz.com/privacy-policy/, incorporated herein by reference) and any additional policies, order forms, or service-level agreements signed between you and Ucallz, governs your access to and use of Ucallz’s call answering and virtual receptionist services and all associated software, websites, customer portals, mobile applications, dashboards, APIs, and digital platforms (collectively, the “Services”).
1.1 How You Accept These Terms
You agree to this Agreement by any of the following actions: (a) clicking “I agree,” “Accept,” or any similar button during account registration or service activation; (b) accessing or using any portion of the Services; (c) authorizing any payment to Ucallz for the Services; or (d) continuing to use the Services after notice of an update to this Agreement.
If you are entering this Agreement on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity, and “you” refers to that entity.
If you do not agree to these Terms, you must not access or use the Services.
1.2 Eligibility
You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Services. The Services are intended for business use only and are not designed for personal, family, or household purposes.
1.3 Important Notices
ARBITRATION NOTICE: Section 14 contains a binding individual arbitration clause and class action waiver. Please read carefully. Unless you opt out as described in Section 14.7, you waive your right to sue in court and to participate in class actions.
AUTO-RENEWAL NOTICE: The Services include auto-renewing subscriptions. Your selected payment method will be charged automatically on each renewal date until you cancel as described in Section 12. See Section 4 for details.
RECORDING NOTICE: Calls handled through the Services may be recorded for quality assurance, training, dispute resolution, and service delivery purposes. You are responsible for providing all required notices to your callers and obtaining all required consents under applicable law (see Section 7).

2. The Product and Description of Services
2.1 The Product
Ucallz’s primary product is professional call answering. Each call answered by Ucallz on behalf of the customer constitutes a discrete deliverable of the Service. Calls answered are the unit of value the customer purchases under all subscription plans, including per-call, per-minute, and package billing models.
Each answered call is logged in real time within the Ucallz platform and is made continuously available to the customer through:
(a) The Ucallz customer portal at dashboard.ucallz.com;
(b) The Ucallz iOS mobile application (available on the Apple App Store); and
(c) The Ucallz Android mobile application (available on Google Play).
Logged information for each call includes, at minimum: the ticket ID, source number (caller ID), timestamp, call duration, and call status (e.g., completed, spam). This record is the customer’s primary system of record for all answered calls and serves as evidence of product delivery. It is available continuously throughout the active customer relationship and for the data retention period defined in Section 7.
2.2 Notifications and Delivery Features
Ucallz also provides notification features as a convenience for relaying call information to the customer’s designated recipients. These features include SMS message delivery, email summaries, and in-platform notifications. Notification delivery is a feature of the Service, not the contracted product.
You acknowledge and agree that:
(a) Notification delivery depends on third-party providers including but not limited to wireless carriers, SMS gateways, email service providers, and internet infrastructure;
(b) Ucallz cannot and does not guarantee delivery, timing, or content fidelity of any individual notification;
(c) Failure or delay of any individual notification does not constitute a failure of the contracted call-answering product, provided the underlying call was answered and logged in the customer portal and mobile applications;
(d) Your exclusive system of record for all answered calls is the Ucallz customer portal at dashboard.ucallz.com and the Ucallz mobile applications, not SMS or email notifications; and
(e) Ucallz’s liability for any notification-related issue is limited as set forth in Section 9 and the Liability Cap.
2.3 Additional Service Features
The Services may also include:

Call Routing: Direction of calls to designated recipients per the customer’s configured rules.
Script-Based Answering: Use of customer-provided scripts as a guideline. Ucallz strives to follow scripts but cannot guarantee strict adherence in every interaction.
Customer Portal: A web-based dashboard at dashboard.ucallz.com to monitor usage, retrieve call records, manage account settings, and access billing information.
Mobile Applications: iOS and Android applications providing on-the-go access to the customer portal.
Account Communications: Service notifications, billing communications, and account updates sent to the email and phone numbers on file.

Ucallz reserves the right to add, modify, or discontinue any feature at any time. Material reductions in functionality affecting paid plans will be communicated with at least thirty (30) days’ notice where reasonably practicable.

3. Account Registration and Security
3.1 Registration
To access the Services, you must register for an account by providing accurate, current, and complete information, including a valid business name, contact email, phone number, and payment method.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, restricting access to authorized personnel, and all activities that occur under your account. Notify Ucallz immediately at security@ucallz.com if you suspect any unauthorized access or use.
3.3 Authorized Users
You may grant access to employees, contractors, or agents (“Authorized Users”). You are responsible for the conduct of all Authorized Users and must ensure they comply with this Agreement.
3.4 No Account Sharing
You may not share, sell, transfer, or sublicense your account credentials to any third party.

4. Subscriptions, Auto-Renewal, and Plans
4.1 Subscription Plans
Ucallz offers various subscription plans, including:
(a) Standard Subscription — A recurring monthly plan that renews automatically every 30 days.
(b) Weekly Pay-Per-Call Plan — A weekly plan with a $60 minimum subscription fee covering up to 25 calls per week, plus $2.50 per chargeable call beyond the minimum allotment. Renews automatically every week, with the total fee calculated and invoiced at the end of Sunday for the week ending. A “chargeable call” is any call answered by Ucallz lasting more than 20 seconds, regardless of call source or category (see Section 5.2).
(c) Monthly Package Subscriptions — A fixed allotment of calls or minutes per month, with overage billed at the rate set at registration.
(d) Per-Minute Billing Plan — Calls billed per minute, rounded up to the next full minute.
(e) Custom Plans — Negotiated plans documented in a separate order form or service agreement.
The plan you select at signup, including pricing, allotments, and overage rates, is incorporated into this Agreement.
4.2 Auto-Renewal Disclosure
By signing up for the Services, you authorize Ucallz to automatically charge your payment method on file for each subsequent billing cycle (weekly, monthly, or as specified in your plan) until you cancel as described in Section 12.
You will receive a receipt by email after each successful charge. You are expected to review receipts promptly. If you believe a charge is in error, you must contact billing@ucallz.com within 14 days of the charge date as described in Section 5.5.
4.3 California, New York, and Other State Auto-Renewal Disclosures
For customers in states with auto-renewal consumer protection laws (including California’s Automatic Renewal Law, New York General Business Law § 527-a, and similar statutes):

The Services automatically renew at the end of each billing period.
The recurring charge amount is the amount of your selected plan plus any usage-based charges (e.g., per-call overage).
You may cancel at any time as described in Section 12 without further charge for periods after cancellation.
Cancellation does not refund prepaid amounts for the current billing period (see Section 5).

4.4 Free Trials and Promotional Offers
If you sign up under a free trial or promotional rate, the trial automatically converts to a paid subscription at the end of the trial period unless you cancel before the trial ends. Promotional rates may revert to standard pricing as disclosed at signup.

5. Billing, Payment, and Refund Policy
5.1 Billing Methods
(a) Per-Call Billing: A fixed fee charged per chargeable call. Charges accumulate weekly and are invoiced at the end of Sunday for the week ending.
(b) Per-Minute Billing: Call durations measured from ring start to call termination, rounded up to the next full minute (e.g., 1 minute 10 seconds bills as 2 minutes).
(c) Package Billing: Fixed allotment per period, with overage automatically purchased and billed at predetermined rates.
5.2 Chargeable Calls — Definition
A “chargeable call” is any call answered by Ucallz lasting more than 20 seconds, including calls subsequently flagged as spam, wrong numbers, or non-customer inquiries, unless your specific plan provides otherwise. Each chargeable call is the contracted product (see Section 2.1) and is logged in the customer portal and mobile applications.
Ucallz invests staff time and infrastructure in answering every call regardless of caller intent. Once Ucallz has answered a chargeable call on your behalf, the call is treated as a delivered product, and the corresponding fee is earned and non-refundable.
5.3 Payment Authorization
You authorize Ucallz to charge your designated payment method (credit card, debit card, ACH, or other approved method) for all fees, charges, applicable taxes, and any unpaid amounts on your account. If a payment fails, Ucallz may retry, suspend Services, and apply late fees.
5.4 Invoices and Receipts
Invoices and receipts are delivered electronically to the email address on file. You are responsible for maintaining a current email address on your account. All invoices and receipts are also archived in the customer portal at dashboard.ucallz.com.
5.5 Billing Disputes — Required Notification
You must notify Ucallz in writing of any billing dispute or claim regarding any charge within fourteen (14) calendar days of the charge date. Notification must be sent to billing@ucallz.com or via the customer portal at dashboard.ucallz.com and must include: (a) the disputed charge date and amount, (b) the reason for the dispute, and (c) any supporting documentation.
Failure to notify Ucallz within 14 days constitutes acceptance of the charge as valid and a waiver of any right to dispute or refund that charge. This includes, but is not limited to, claims relating to call handling quality, summary delivery, script adherence, or any alleged service failure. The customer’s continuous access to call records via the portal and mobile applications eliminates any practical barrier to timely review and dispute of charges.
5.6 Refund Policy
All fees paid to Ucallz are non-refundable except as expressly provided in this Agreement or as required by applicable law. Specifically:

Calls Answered Are Final: Once Ucallz has answered a chargeable call on your behalf, the corresponding fee is earned and non-refundable. Each answered call is logged in the customer portal and mobile applications and is available to you for verification at any time.
Completed Billing Periods Are Final: Fees for any completed weekly or monthly billing period are non-refundable.
Mid-Period Cancellation: Cancellation during a billing period does not entitle you to a pro-rated refund for the remainder of that period.
Notification Issues Do Not Trigger Refunds for Answered Calls: Issues with SMS, email, or other notification delivery do not affect the validity of charges for calls actually answered. Your remedy in such cases, if any, is limited to the Liability Cap in Section 9 and is contingent on written notice within the period required by Section 5.5.
Service Credits Only: Where a credit is owed under this Agreement, it will be issued as a service credit applicable to future billing, not as a cash refund, unless required by law.
Disputed Charges Resolved in Customer’s Favor: If we agree a charge was made in error, we will issue a refund or credit at our discretion.

5.7 Chargebacks and Payment Disputes — Required Pre-Dispute Resolution
Before initiating a chargeback, payment dispute, or claim with your card issuer, bank, or any payment network, you must first contact Ucallz in writing at billing@ucallz.com and provide Ucallz with no fewer than fourteen (14) calendar days to investigate and respond.
This pre-dispute requirement is a material term of this Agreement. Initiating a chargeback without first attempting good-faith resolution with Ucallz constitutes a material breach of this Agreement and may result in:

Immediate suspension or termination of Services;
Liability for any chargeback fees, processing fees, and reasonable costs of defending the chargeback (including attorney fees and time spent compiling evidence);
Reporting to commercial collection agencies or credit bureaus, where permitted by law; and
Forfeiture of any account balance, credits, or stored data.

If you have a legitimate billing concern, contacting Ucallz directly is the fastest path to resolution. Most billing concerns can be addressed within 1–3 business days. Your call records are available 24/7 at dashboard.ucallz.com and through the Ucallz mobile applications, allowing you to verify charges before initiating any dispute.
5.8 Late Payments
Payments not made by the due date may incur a late fee of the lesser of 1.5% per month or the maximum rate permitted by law. Continued non-payment may result in suspension or termination of Services and referral to collections.
5.9 Taxes
Fees are exclusive of applicable taxes (sales, use, VAT, GST, or similar). You are responsible for all such taxes other than those based on Ucallz’s net income.
5.10 Price Changes
Ucallz may modify pricing for the Services. For existing customers, any price increase will take effect on the next renewal cycle following at least thirty (30) days’ written notice. Continued use of the Services after the effective date constitutes acceptance of the new pricing.

6. Acceptable Use and Prohibited Conduct
6.1 License Grant
Subject to this Agreement and timely payment of fees, Ucallz grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your internal business purposes during the term of this Agreement.
6.2 Prohibited Use
You agree not to use the Services in any manner that:

Violates any applicable law, regulation, or third-party rights, including the Telephone Consumer Protection Act (“TCPA”), CAN-SPAM Act, GDPR, CCPA, or any state telecommunications or consumer protection laws.
Involves fraudulent, deceptive, or abusive activity, including using the Services to commit fraud against your customers, prospects, or third parties.
Transmits unsolicited marketing messages without proper consent.
Interferes with, disrupts, or compromises the security or functionality of the Services or any related infrastructure.
Attempts to reverse-engineer, decompile, copy, modify, or create derivative works of the Services.
Resells, sublicenses, or provides the Services to third parties without express written authorization from Ucallz.
Uses the Services in connection with illegal activity, harassment, threats, or violations of others’ rights.

6.3 Customer Compliance Obligations
If you use Ucallz to handle calls for or about consumers, you represent and warrant that:

You have all required consents from your customers and callers for call handling, recording, and data sharing.
You comply with all applicable telemarketing, do-not-call, and consumer protection laws.
You will provide accurate scripts and instructions and update them as your business changes.
You will indemnify Ucallz for any third-party claims arising from your non-compliance (see Section 10).

6.4 Suspension for Violation
Ucallz may suspend or terminate your access immediately, without notice, if Ucallz determines in good faith that you have violated this Section 6 or are using the Services in a manner that creates legal, regulatory, or operational risk.

7. Call Recording, Customer Data, and Privacy
7.1 Call Recording
Calls handled by Ucallz may be recorded for quality assurance, training, dispute resolution, and service delivery. You acknowledge and agree that:

You are responsible for compliance with all federal, state, and local call recording laws applicable to your business, including states requiring two-party (all-party) consent.
You will provide all required disclosures to your callers, including any recording notice required by law.
Ucallz is not responsible for any failure by you to comply with call recording laws.

7.2 Ownership of Customer Data
As between you and Ucallz, you retain ownership of all data and content you provide to Ucallz, including scripts, customer lists, and call content originated by your callers (“Customer Data”). You grant Ucallz a license to use Customer Data solely to provide and improve the Services.
7.3 Ucallz Data Use
Ucallz may use de-identified, aggregated data derived from the Services for product improvement, analytics, and benchmarking, provided such data does not identify you or your callers.
7.4 Customer Access to Call Records
For the duration of an active subscription, you have unlimited access to all call records, ticket details, timestamps, summaries, and account activity through the Ucallz customer portal at dashboard.ucallz.com and through the Ucallz iOS and Android mobile applications.
Call records are retained for up to twenty-four (24) months from the date of the call. After this period or upon account termination, Ucallz has no obligation to maintain Customer Data and may delete it. You are responsible for downloading or exporting any records you wish to retain before termination or beyond the retention period.
Your continuous access to call records via the portal and mobile applications constitutes Ucallz’s primary mechanism for delivering proof of product delivery and is a material part of the Services.
7.5 Privacy
Ucallz’s collection and processing of personal information is described in our Privacy Policy at https://ucallz.com/privacy-policy/.
7.6 Security Incidents
Ucallz will notify affected customers of any security incident involving unauthorized access to Customer Data within seventy-two (72) hours of confirmation, except where notice is delayed by law enforcement or where notice would compromise an ongoing investigation.

8. Service Availability, Updates, and Force Majeure
8.1 Service Availability
Ucallz uses commercially reasonable efforts to maintain Service availability during your subscribed hours. Scheduled maintenance, unexpected outages, or events outside Ucallz’s reasonable control may cause temporary interruptions. Ucallz does not guarantee uninterrupted or error-free operation of the Services.
8.2 Updates
Ucallz may update the Services, including bug fixes, feature changes, and discontinuation of features. Material reductions in functionality on paid plans will be communicated with at least thirty (30) days’ notice where reasonably practicable.
8.3 Third-Party Dependencies
The Services depend on third-party providers including telecommunications carriers, cloud infrastructure, SMS gateways, and email providers. Ucallz is not responsible for failures, delays, or malfunctions caused by third-party providers, including carrier outages, SMS deliverability issues, internet service interruptions, or cloud platform downtime.
8.4 Force Majeure
Neither party is liable for failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, government actions, pandemics, labor disputes, telecommunications or internet failures, cyberattacks, or other events of force majeure. Performance is suspended for the duration of the force majeure event.

9. Disclaimers and Limitation of Liability
9.1 No Warranties
THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. UCALLZ EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
UCALLZ MAKES NO WARRANTY THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS, (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) ANY PARTICULAR CALL WILL BE ANSWERED, FOLLOW A PROVIDED SCRIPT EXACTLY, OR RESULT IN A DELIVERED SUMMARY, OR (D) THE SERVICES WILL PRODUCE ANY SPECIFIC BUSINESS OUTCOME OR REVENUE.
9.2 Specific Disclaimers — Calls and Notifications
You expressly acknowledge:

Ucallz cannot guarantee that every call will be answered.
Ucallz cannot guarantee strict adherence to provided scripts.
Ucallz cannot guarantee delivery of every call summary or notification, particularly where dependent on third-party SMS, email, or wireless carrier infrastructure.
External factors (carrier outages, recipient device issues, spam filtering, DNS issues, etc.) affect notification delivery and are outside Ucallz’s control.
The contracted product is calls answered, logged, and made available in the customer portal and mobile applications. Notification delivery is a secondary feature, not the contracted product.

9.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
(a) Excluded Damages: UCALLZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, OR OTHERWISE) AND EVEN IF UCALLZ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) Liability Cap: UCALLZ’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, FOR ALL CLAIMS COMBINED, SHALL NOT EXCEED THE LESSER OF (i) THE FEES PAID BY YOU TO UCALLZ IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) FIVE HUNDRED DOLLARS ($500.00 USD) (the “Liability Cap”).
(c) Form of Remedy: Where Ucallz is found liable, the remedy will be issued as a service credit applicable to future billing unless otherwise required by law.
9.4 Essential Basis
The disclaimers and limitations in this Section 9 are essential elements of the bargain between you and Ucallz, and the pricing of the Services reflects these limitations. They apply even if a remedy fails of its essential purpose.

10. Indemnification
You agree to defend, indemnify, and hold harmless Ucallz, its officers, directors, employees, agents, and affiliates from and against any third-party claims, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorney fees) arising out of or related to:

Your use of the Services;
Your violation of this Agreement;
Your violation of any law, regulation, or third-party right (including TCPA, consumer protection, or privacy laws);
The content, scripts, or instructions you provide to Ucallz; or
Any claim by your customers, callers, or other third parties relating to your business.

Ucallz reserves the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully.

11. Intellectual Property
11.1 Ucallz IP
All software, content, technology, trademarks, logos, and other materials provided as part of the Services (the “Ucallz IP”) are owned by or licensed to Ucallz. Except for the limited license granted in Section 6.1, no rights are granted to you in the Ucallz IP.
11.2 Customer Marks
You grant Ucallz a limited, non-exclusive license to use your business name, logo, and trademarks solely as needed to provide the Services (e.g., when answering calls on your behalf).
11.3 Feedback
If you provide feedback, suggestions, or ideas regarding the Services, you grant Ucallz a perpetual, worldwide, royalty-free, fully sublicensable license to use such feedback for any purpose, including incorporation into the Services. You waive any claims to ownership or compensation.

12. Term and Termination
12.1 Term
This Agreement begins when you accept it and continues until terminated as described below.
12.2 Cancellation by You — Required Procedure
To cancel your subscription, you must submit a written cancellation request through one of the following channels:
(a) Email: Send a cancellation request to billing@ucallz.com from the email address on file for your account.
(b) Customer Portal: Submit a cancellation request through the customer portal at dashboard.ucallz.com.
Verbal requests, chat messages to call agents, social media messages, or messages to non-Ucallz parties do not constitute valid cancellation. Cancellation is effective at the end of the current billing period in which Ucallz acknowledges your request, unless a later effective date is specified.
Cancellation does not entitle you to a refund of fees paid for the current or prior billing periods.
12.3 Confirmation
Ucallz will confirm receipt of valid cancellation requests within two (2) business days. If you do not receive confirmation within this timeframe, you must follow up to ensure your request was received.
12.4 Termination by Ucallz
Ucallz may terminate or suspend your access immediately, with or without notice, if:

You materially breach this Agreement;
You initiate a chargeback in violation of Section 5.7;
Your account is past due more than thirty (30) days;
Ucallz reasonably believes your use of the Services creates legal, regulatory, or operational risk; or
Required by law, court order, or governmental authority.

12.5 Effect of Termination
Upon termination:

Your access to the Services ends immediately;
All fees accrued before termination remain due and payable;
You may request export of Customer Data within thirty (30) days, after which Ucallz may delete it;
Sections that by their nature should survive termination (including Sections 5.6, 5.7, 7, 9, 10, 11, 13, 14, and 15) survive.

13. Modifications to This Agreement
13.1 Right to Modify
Ucallz may modify this Agreement from time to time. The “Last Updated” date will reflect the most recent modification.
13.2 Material Changes
For material changes affecting existing customers, Ucallz will provide at least thirty (30) days’ advance notice via email to the address on file or through the customer portal. Material changes include:

Pricing changes;
Material reductions in functionality;
Changes to the dispute resolution or arbitration provisions; or
Changes to the Liability Cap.

13.3 Acceptance of Changes
Your continued use of the Services after the effective date of a modification constitutes acceptance of the modified terms. If you do not agree, your sole remedy is to cancel your subscription as described in Section 12.
13.4 Non-Material Changes
Non-material changes (e.g., clarifications, formatting, contact information updates) take effect upon posting.

14. Dispute Resolution and Class Action Waiver
IMPORTANT — PLEASE READ CAREFULLY. THIS SECTION AFFECTS YOUR LEGAL RIGHTS.
14.1 Informal Resolution First
Before initiating arbitration or litigation, the parties agree to attempt informal resolution by sending written notice of the dispute to the other party. Ucallz’s notice address is: legal@ucallz.com or 3111 Camino Del Rio North, Suite 400, San Diego, California 92108, Attn: Legal Department. The parties will attempt in good faith to resolve the dispute within thirty (30) days.
14.2 Binding Arbitration
If informal resolution fails, all disputes arising out of or relating to this Agreement or the Services will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules (or Consumer Arbitration Rules where applicable based on the nature of the dispute).
14.3 Class Action Waiver
The parties waive the right to a trial by jury and the right to participate in class actions, collective actions, private attorney general actions, or representative actions. Disputes must be brought individually.
14.4 Exclusions
The following are excluded from arbitration and may be brought in court:

Claims for injunctive or equitable relief regarding intellectual property infringement;
Disputes within the jurisdiction of small claims court (provided they remain individual claims);
Disputes regarding the validity, enforceability, or scope of this arbitration provision (which a court will decide).

14.5 Governing Law
This Agreement is governed by the laws of the State of California, without regard to conflict of law principles, except that the Federal Arbitration Act governs the arbitration provisions in this Section 14.
14.6 Venue
Any litigation permitted under Section 14.4 will be brought exclusively in the state or federal courts located in San Diego County, California, and the parties consent to personal jurisdiction and venue therein.
14.7 Arbitration Opt-Out
You may opt out of this arbitration agreement by sending a written opt-out notice within thirty (30) days of accepting this Agreement to:

Your notice must include your full name, business name, account email, mailing address, telephone number, and a clear statement that you opt out of the arbitration agreement. Email notices are not accepted for opt-out. Failure to opt out within 30 days means you agree to arbitration.
14.8 Survival
This Section 14 survives termination of this Agreement.

15. General Provisions
15.1 Entire Agreement
This Agreement, together with the Privacy Policy and any signed order forms or service-level agreements, constitutes the entire agreement between you and Ucallz regarding the Services and supersedes all prior agreements and understandings.
15.2 Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be enforced to the maximum extent permitted by law.
15.3 No Waiver
Ucallz’s failure to enforce any provision is not a waiver of that provision or Ucallz’s right to enforce it later.
15.4 Assignment
You may not assign this Agreement without Ucallz’s prior written consent. Any attempted assignment in violation of this section is void. Ucallz may assign this Agreement at its discretion, including in connection with a merger, acquisition, or sale of assets.
15.5 Independent Contractors
The parties are independent contractors. This Agreement does not create a partnership, joint venture, agency, or employment relationship.
15.6 No Third-Party Beneficiaries
This Agreement is for the sole benefit of you and Ucallz and does not create any third-party beneficiary rights.
15.7 Notices
Notices to you will be sent to the email address on file or posted in the customer portal. Notices to Ucallz must be sent to legal@ucallz.com or by mail to 3111 Camino Del Rio North, Suite 400, San Diego, California 92108, Attn: Legal Department.
15.8 Headings
Section headings are for convenience only and do not affect interpretation.
15.9 Geographic Restrictions
The Services are provided from the United States. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local law.
15.10 Export Compliance
You agree to comply with all applicable export and re-export control laws and regulations.
15.11 Government Use
If you are a U.S. government entity, the Services are “commercial items” as defined in FAR 2.101, licensed with only those rights granted to the public.

16. SMS Communications (Where Applicable)
For users opting in to SMS communications from Ucallz directly (e.g., for job alerts, account notifications, or marketing):

Opt-In: You consent by replying “OK” to an invitation message or by signing up at www.ucallz.com/job-alerts.
Opt-Out: Reply “STOP” to any SMS to unsubscribe.
Help: Reply “HELP” or contact support@ucallz.com.
Frequency: Variable based on your settings and account activity.
Cost: Standard message and data rates may apply.
Privacy: We do not sell, share, or trade your phone number with third parties for marketing.

This Section 16 applies to direct SMS communications between Ucallz and the User. SMS notifications sent on your behalf to your callers as part of the Services are governed by Sections 6 and 7.
